Terms & Conditions

Acceptance of Terms

Welcome to J John Consulting Services Inc (“J John Consulting,” “JJC,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of http://www.jjohnconsulting.com (the “Site”) and the information, materials, and services made available through it, including operations improvement, revenue cycle performance, business performance, and process improvement consulting and advisory services (collectively, the “Services”). By accessing or using the Site, you agree to these Terms, our Privacy Policy, and our Disclaimer. A separate written agreement may apply to Services provided to a client.

If you do not agree to these Terms, do not use the Site.

Changes to These Terms

We may revise these Terms from time to time. Changes will be effective when posted on the Site, unless a later effective date is stated. Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms.

Client Engagements and Separate Agreements

A consulting or service engagement begins only when JJC and the client enter into a written agreement, statement of work, or proposal signed or otherwise accepted by both parties. That agreement will describe the scope, deliverables, fees, responsibilities, data-handling requirements, and other engagement-specific terms. If these Terms conflict with a signed client agreement, the client agreement controls for that engagement.

Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Copy, reproduce, distribute, resell, sublicense, or commercially exploit Site materials or Services without our prior written permission;
  • Attempt to gain unauthorized access to the Site, its systems, or related networks, or interfere with their operation or security;
  • Use bots, scrapers, or other automated means to access or copy Site content except as permitted by law or with our written consent;
  • Upload or transmit unlawful, misleading, malicious, infringing, or harmful material; or
  • Submit information, including PHI, that you are not authorized to provide or that the Site is not designed to receive.

No Guarantee of Results

JJC does not guarantee any particular business, operational, financial, reimbursement, claims, coding, collections, denial-reduction, days-in-accounts-receivable, audit, regulatory, or other outcome. Results depend on circumstances outside our control, including payer policies, clinical documentation, client staffing and workflows, third-party decisions, and changes in law or regulation. Past results, case studies, statistics, and examples are illustrative only and do not guarantee future performance.

Advisory Services and Client Responsibilities

JJC provides operational, revenue cycle, and business performance consulting and advisory services. Its work may include operational assessments, revenue cycle evaluations, performance reviews, workflow and process improvement recommendations, performance metrics and reporting guidance, implementation support, and coordination with independent specialists where additional expertise is required and agreed with the client. James John works directly with client leadership throughout the engagement, as set out in the applicable statement of work. JJC does not represent that it is itself the client’s healthcare provider, payer, law firm, accounting firm, or independent clinical decision-maker.

JJC’s role is consulting, assessment, advisory, implementation support, and (where agreed) coordination with independent specialists. The website description does not state that JJC itself provides outsourced medical billing, coding, claim submission, payment posting, collections, credentialing, or prior authorization processing. Accordingly, this draft does not describe JJC as directly performing those functions. Clients and their designated providers, billing entities, credentialed personnel, and compliance professionals retain responsibility for clinical documentation, final coding and billing decisions, claim approval and submission, and regulatory compliance, unless a later signed agreement clearly allocates a specific task differently.

Confidentiality and PHI

Non-public client information will be handled in accordance with the applicable client agreement and any BAA. Do not submit confidential business information or PHI through public Site forms or unsecured email. If a Services engagement requires access to PHI, the parties must execute an appropriate BAA where required and use designated secure channels. Use of the Site alone does not create a business associate relationship.

User Submissions

You retain ownership of information and materials you submit to JJC. You represent that you have the right and authority to submit them. You authorize JJC to receive, use, process, and transmit those materials as reasonably necessary to respond to your inquiry or provide the Services, subject to the Privacy Policy, the applicable client agreement, and any BAA. No broader license is granted by this section.

Intellectual Property

The Site and its content, including text, graphics, logos, reports, templates, frameworks, methodologies, and tools, are owned by JJC or its licensors and are protected by applicable intellectual property laws. Except as permitted by law or expressly authorized in writing, you may not copy, modify, distribute, publish, create derivative works from, or commercially exploit these materials. Ownership and permitted use of client deliverables will be governed by the applicable client agreement. Unless that agreement states otherwise, JJC retains ownership of its pre-existing materials, know-how, and general methodologies.

Third-Party Links and Services

The Site may link to third-party websites or services. JJC does not control and is not responsible for third-party content, availability, security, or practices. Accessing third-party websites or services is at your own risk and may be subject to their terms and privacy policies.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, accuracy, and non-infringement. JJC does not warrant that the Site will be uninterrupted, secure, error-free, or free of harmful components.

Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless JJC and its officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable expenses (including attorneys’ fees) to the extent arising from your unlawful use of the Site, your material breach of these Terms, or your infringement of another person’s rights. This section does not expand or replace any allocation of responsibility in a signed client agreement.

Limitation of Liability

To the maximum extent permitted by applicable law, JJC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Site or these Terms, even if advised of the possibility of such damages.

Unless a signed client agreement provides otherwise, and to the maximum extent permitted by law, JJC’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed the amount, if any, you paid directly to JJC for access to the Site during the twelve (12) months preceding the event giving rise to the claim. For claims arising from paid Services, the applicable signed client agreement will govern the liability cap. Some jurisdictions do not permit certain limitations, so parts of this section may not apply to you.

Suspension and Termination

We may suspend or restrict access to the Site where reasonably necessary to protect the Site, our users, or our business, or where you violate these Terms. Provisions that by their nature should survive termination will remain in effect, including provisions concerning intellectual property, disclaimers, indemnification, and limitations of liability.

Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any action arising out of or relating to these Terms or the Site must be brought in the state or federal courts located in New Castle County, Delaware and each party consents to the jurisdiction and venue of those courts, subject to any mandatory law that applies.

General Provisions

These Terms, together with the Privacy Policy, Disclaimer, and any applicable signed client agreement, govern your use of the Site. If any provision is held unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. JJC may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
